In the course of the sitting the panel members heard the report of the Chairman of the State Property Fund of Ukraine regarding the privatization of the State Property Fund of Ukraine as to Management of the State Corporate Rights in "Orion Machine Building Association" JSC (Odessa city).
The Committee members emphasised that in the result the long-termed corporate conflicts the basic productive activity of the enterprise that is the production of refrigeration machinery is not being held since 2004; the continuity of the accounting was violated, great fixed assets service wear is observed and the same concerns shortage and incomplete industrial equipment.
In the end of 2009 the quantity of personnel was reduced to 26 people. Enterprise is unprofitable and complex financial situation it does exist only due to the lease contracts. During 2007-2009 total balance loss of the enterprise comprised UAH 23,51 million. Accounts payable for 2009 comprises UAH 2,086 million, including arrears UAH 1, 76 million. Enterprise property is under tax mortgage after the tax debt at the rate UAH 1,316 million at the end of 2009.
At the present moment economic courts are scrutinizing the property disputes that considerably influence the total risk-weighted assets of "Orion."
Taking ion to the consideration the mentioned above facts the Panel resolved to declared the work of the State Property Fund of Ukraine and Odesa Regional Department of the State Property Fund of Ukraine as to management of the state corporate rights in "Orion Machine building association" JSC and restoration of the illegally alienated property of this enterprise as unsatisfactory. The State Property Fund is recommended to scrutinize the issue regarding the call to disciplinary punishment of guilty persons and on the adopted decisions the Panel is to be informed.
Moreover the Panel resolved to adders the Prosecutor´s General Office of Ukraine with the appeal: to make a motion to the economic court of Odesa Region on seizure of property of "Orion" complex until the completion of the court hearing of relevant economic disputes; to thoroughly investigate the activity of the officials of "Orion" JSC and registrar "Odesa Restorational Center "Duke" LLC.
The Panel also passed the decision to appeal to the Supreme Council of Justice with the proposition to uphold the motion of the members of the Supreme Council of Justice, Deputy Prosecutor General of Ukraine V. Kudriavtsev regarding the dismissal of the judges of the economic court of Odesa region and judges of Odesa courts of appeal that adopt the resolutions regarding "Orion" JSC cases.
Moreover, the State Property Fund is recommend to immediately initiate the conduction of the meeting of "Orion" JSC share holders´ meeting for appointing of the enterprise board, according to the termed envisaged by the Law "On Joint Stock Companies"
The Panel members deem the Cabinet of Minuets is obliged to elaborate and implement the mechanism of the taking account of the land areas in the course of the privatization of the state property objects that are situated on the indicated areas.
